The practical objective is not to label every message confidential. It is to identify the information that creates commercial risk, limit its use to the agreed project, and record who owns or may reuse each development output.
The contract language needs to match the working process. A fashion design NDA can protect information disclosed during sourcing and sampling, while the development agreement answers different questions about patterns, artwork, physical samples and production files. The right wording depends on the parties, the project and the governing law, so this article is a production-planning guide rather than legal advice.
What should a clothing manufacturer NDA protect?
Start with a specific schedule of confidential material. For a womenswear project, that may include unreleased sketches, tech packs, measurement charts, CAD or pattern files, artwork, construction notes, fabric and trim references, supplier identities, costing details, sample photographs, launch dates and customer information. General knowledge, information already public and material received lawfully from another source are usually treated differently and should be addressed in the agreement.
The World Intellectual Property Organization explains that trade-secret protection depends on information being commercially valuable because it is secret, known only to a limited group, and subject to reasonable steps to keep it secret. WIPO lists confidentiality agreements and access controls among those steps. For buyers, that means the NDA should connect the asset, the people who need it and the reason they may use it.
When should the fashion design NDA be signed?
Sign it before the first detailed disclosure, not after the factory has already received the complete design package. WIPO's trade-secret management guidance recommends putting confidentiality obligations in place before confidential information is shared. A buyer can still begin with a non-confidential capability discussion, then disclose sensitive files only after the correct legal entities and authorised signatories are confirmed.
Staged disclosure also keeps the process proportionate. A silhouette reference may be enough for an initial capability conversation; the graded measurement chart, internal construction, custom artwork and launch calendar can follow when the manufacturing route is credible and the agreement is active. Keep a dated record of what was sent, to whom, for which style and under which document version.
Does an NDA decide clothing pattern ownership?
No. A garment manufacturer confidentiality agreement may restrict disclosure and permitted use, but it does not automatically transfer copyright or other rights in commissioned work. The contract should say who supplies each input, who creates each output, whether the buyer receives ownership or a licence, which rights are excluded, and when any handover becomes effective.
China's Copyright Law identifies product design drawings among the types of works that may receive copyright protection. For commissioned works, the law says ownership is determined by contract; where the contract is silent or unclear, copyright belongs to the commissioned party. It also requires a written contract for a transfer of copyright. Whether a particular garment pattern qualifies, which rights apply and how another jurisdiction treats the work are legal questions for qualified counsel.

Which clauses make a confidentiality agreement usable?
Useful clauses describe the protected information, the permitted project purpose, approved recipients, subcontractor obligations, exclusions, security expectations, duration, incident notice, return or destruction, governing law and dispute route. They should also explain how confidentiality markings, oral disclosures and later-developed files are handled. A contract that names everything but gives the working team no process can be difficult to apply.
China's revised Anti-Unfair Competition Law defines a trade secret as non-public technical, operational or other commercial information with commercial value for which the rights holder has taken corresponding confidentiality measures. It also addresses obtaining, disclosing, using or allowing others to use trade secrets in breach of confidentiality obligations. Buyers should make the agreement and their day-to-day controls consistent, then have counsel confirm the document for the relevant entities and jurisdiction.
How should files, samples and subcontractors be controlled?
Use a project code and version number on tech packs, artwork and pattern files. Share them through an agreed channel, limit access to people working on the style, and state whether an external pattern technician, printer, embroiderer or material supplier may receive any part. If outside support is allowed, identify who remains responsible for equivalent confidentiality obligations.
Physical controls matter too. Record sample quantities and locations; decide whether rejects, test pieces and branded trims may be retained; prohibit portfolio photography or display unless permission is given; and document return or destruction at the end of the project. These steps are most useful when assigned to named people and connected to the approval record.

- Names or roles of authorised signatories and project contacts
- A clear list of confidential designs, files, commercial data and samples
- The permitted purpose, style or collection, and intended disclosure period
- Any approved subcontractors or external specialists and their access limits
- Ownership or licence terms for each buyer-supplied and factory-created output
- Required editable formats, pattern versions and file-handover timing
- Rules for photographs, physical samples, rejects, return and destruction
- Governing law, dispute route and review by qualified legal counsel
